Terms of Service
These terms apply to all offers and work performed by GuusCode (‘we’).
1. Scope & Process
We work iteratively. Scope is agreed and can expand in small increments by mutual agreement.
2. Fees & Invoicing
Time is tracked hourly unless agreed otherwise. Invoices are issued periodically.
3. Intellectual Property
Upon full payment you receive the right to use the delivered work. Third‑party components retain their own licenses.
4. Warranty & Maintenance
We fix defects directly caused by our code within a reasonable timeframe. New features are out of warranty scope.
5. Liability
Our liability is limited to the (ex VAT) amount invoiced for the relevant portion of the engagement in the last 3 months. We are not liable for indirect, special, incidental, consequential damages, loss of profits, data loss, or business interruption.
6. Indemnity
Client shall indemnify and hold us harmless from third‑party claims relating to materials, content, or choices provided by the client (including licenses, trademarks, or personal data).
7. Third‑Party Services
We may rely on third‑party services (e.g., hosting, CMS, analytics). Their availability and terms apply, and we are not responsible for their outages or changes.
8. Force Majeure
In events of force majeure (e.g., provider outages, power/internet failures, illness), obligations are suspended without liability for damages.
9. Termination
Either party may end the engagement in writing, respecting ongoing obligations and payment for work performed.
10. Privacy

11. Governing Law
Dutch law applies. Disputes are submitted to the competent court in the Netherlands.
